Terms and Conditions of Sale - Optima Labs - Official
- Preamble
These Terms and Conditions of Sale and Use (hereinafter "T&C") govern access to the website operated by Optima Labs (the "Site") and any order placed through it.
By accessing the Site and/or placing an order, the Buyer acknowledges having read, understood and accepted without reservation these Terms and Conditions.
- Definitions
"Optima Labs", "we", "our" : the company operating the Site, incorporated as an LLC in the State of New Mexico, United States.
“Acheteur” : any adult natural person or legal entity making a purchase through the Site.
“Produits” : refers to all items sold on the Site, including:
- a) Research Products : peptides, compounds and materials intended exclusively for experimental laboratory use.
- b) Topical Cosmetic Products : serums and sprays intended for external application on the skin in accordance with their description.
“Usage de recherche” : use exclusively experimental or analytical in a controlled environment.
"Cosmetic Use" : external application intended for skin care or skin appearance, without medical or therapeutic purpose.
- Eligibility
3.1 Research Products
Products identified as “Produits de recherche” are sold exclusively to:
- qualified professionals
- laboratories
- academic institutions
- research entities
The Buyer confirms that they have the necessary skills to handle research substances.
Optima Labs reserves the right to request any supporting documentation and to refuse any order in case of doubt.
3.2 Topical cosmetic products
Products identified as "Topical Cosmetic Products" may be purchased by any adult.
These products are intended for usage externe uniquement, in accordance with their description and the instructions on the labeling.
3.3 Minimum age
By placing an order on the Site, the Buyer confirms being at least 18 ans or having reached the legal age required in their jurisdiction to enter into a legally binding purchase contract.
- Use of Products
4.1 Research Products
Research Products are strictly intended for experimental laboratory purposes.
Not for human or veterinary consumption.
Optima Labs provides no instructions regarding administration or dosage.
The Products are not intended to diagnose, treat, cure or prevent any disease.
These statements have not been evaluated by the Food and Drug Administration (FDA).
Resale prohibited for human use
The Buyer undertakes to not repackage, relabel, distribute or resell the Products for human or veterinary consumption.
The Products may under no circumstances be marketed as:
- dietary supplements
- medicines
- products intended for human use
4.2 Topical cosmetic products
Topical Cosmetic Products are intended for external application only.
They are not intended to diagnose, treat, cure or prevent any disease.
Optima Labs ne formule no medical or therapeutic claims concerning these products.
The Buyer is responsible for complying with the instructions on the labeling.
These statements have not been evaluated by the Food and Drug Administration (FDA).
4.3 Lawful use
The Buyer undertakes to not use the Products for unlawful purposes or in violation of the laws and regulations applicable in their jurisdiction.
- Acceptance of orders
Any order constitutes a purchase offer.
Optima Labs reserves the right to accept or refuse any order at its sole discretion.
An order is only considered accepted after confirmation or shipment.
Optima Labs also reserves the right to cancel any order, in particular in cases of:
- suspicion de fraude
- erreur de prix
- erreur de stock
- regulatory constraint
- situation beyond its control
- Prix & taxes
Prices may be modified at any time without notice.
Les customs duties, import taxes and local fees are the exclusive responsibility of the Buyer.
En cas manifest pricing or information error displayed on the Site, Optima Labs reserves the right to cancel the order and proceed with a full refund of the payment made.
- Paiement
Payments can be made via:
- Bank card
- Apple Pay
- Any other method proposed later (crypto, bank transfer, etc.)
Optima Labs reserves the right to refuse any suspicious transaction.
En cas de unjustified chargeback, Optima Labs may initiate recovery proceedings.
Optima Labs reserves the right to request identity verification or additional documents for any order identified as presenting a high risk by our fraud detection systems or by our payment providers.
Tout chargeback (contestation bancaire) initiated without prior contact with our customer service may be considered abusive.
Optima Labs reserves the right to dispute any unjustified chargeback and to transmit to the payment processor and the issuing bank:
- the transaction evidence

- the Buyer's acceptance of these T&C
- Shipping & transfer of risk
Shipping times indicated on the Site are provided for indicative purposes only and do not constitute a contractual guarantee.
The Products may be shipped internationally.
The risk of loss, damage, delay or seizure is transferred to the Buyer upon handover to the carrier.
Once the order is handed over to the carrier, Optima Labs cannot be held responsible for:
- retards
- pertes
- damages caused by the carrier
Optima Labs cannot be held responsible:
- customs delays
- import refusals
- administrative seizures
- losses related to the carrier
The Buyer is solely responsible for legal compliance in their jurisdiction.
- Politique de retour
Returns are accepted only if:
- The product is unopened.
- in its original undamaged packaging
- reported within 7 days following receipt
Return shipping costs are the responsibility of the Buyer.
No refund will be granted for a Product:
- ouvert
- altered
- tampered with
- Limitation of liability
To the fullest extent permitted by applicable law, Optima Labs' total liability is strictly limited to the amount paid for the Product concerned.
IN NO EVENT SHALL OPTIMALABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
Optima Labs cannot be held responsible for:
- financial losses
- operating losses
- indirect damages
- bodily injury
- misuse
Liability concerning Topical Cosmetic Products is also limited to the amount paid for the Product concerned, except as otherwise required by mandatory applicable law.
- Exclusion de garanties
The Products are provided "as is" and "as available".
OPTIMALABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Optima Labs ne garantit pas regulatory compliance in the Buyer's jurisdiction.
- Indemnisation
L’Acheteur accepte to indemnify and hold Optima Labs harmless against any claim resulting from:
- from misuse
- of improper use
- of a violation of local laws
- of an unauthorized resale
- Regulatory compliance
The Buyer is solely responsible:
- verifying the legality of the Products in their jurisdiction
- obtaining any necessary authorization
- complying with local laws
- Force majeure
Optima Labs cannot be held responsible in case of events beyond its control, including:
- natural disaster
- conflict
- administrative decision
- logistics disruption
- regulatory change
- Intellectual property
All content present on the Site, including in particular:
- textes
- images
- logos
- graphiques
- designs
- visual elements
is the exclusive property of Optima Labs.
Any reproduction, distribution, modification or use of these contents without prior written authorization from Optima Labs is strictement interdite.
- Loi applicable
These T&C are governed by the laws of the State of New Mexico, United States.
- Arbitrage obligatoire
Any dispute will be resolved exclusively by binding arbitration in the State of New Mexico.
The parties agree to resolve any dispute through binding arbitration and waive any right to a jury trial.
- Waiver of class actions
The Buyer waives any participation in a class action against Optima Labs.
- Severability
If any clause is held to be invalid, the other provisions remain applicable.
- Modification of T&C
Optima Labs reserves the right to modify these T&C at any time.
Modifications take effect upon their publication on the Site.
